Terms of Use
Please read these Terms carefully. They govern your access to and use of OptiBFR.

1) Eligibility & Account
You must be at least 18, have authority to bind your organization, and provide accurate registration information. You are responsible for safeguarding credentials and all activity under your account.
2) The Service
OptiBFR is a B2B credit management and receivables collections platform that provides data import/reconciliation, scenario-based reminders (email/SMS/call/print), dashboards, AI-assisted prioritization and a client portal. Features may evolve over time; we may add, modify, or discontinue features with reasonable notice when materially impactful.
3) Subscriptions, Billing & Taxes
- Plans: Access is provided on a subscription basis per plan. Current plan details and prices appear on the Pricing page.
- Billing: You authorize FINORYS or its payment processors to charge your selected payment method (card or bank transfer workflow) for recurring fees, overages (e.g., extra users, storage, SMS) and applicable taxes.
- Renewal: Subscriptions renew automatically unless cancelled before the renewal date.
- Changes: Upgrades take effect immediately and may be prorated. Downgrades apply from the next billing cycle.
- Late/Failed Payments: We may suspend or limit the Service for unpaid invoices after notice.
- Refunds: Except where required by law, fees are non-refundable.
4) Acceptable Use
You agree not to:
- violate any law or third-party rights (including privacy, IP, anti-spam);
- upload unlawful, harmful, or confidential data you are not authorized to process;
- interfere with or disrupt the Service, attempt to bypass security or rate limits;
- send spam or harassing communications via our channels;
- reverse engineer, decompile, or attempt to access source code except as permitted by law.
5) Customer Data & Data Protection
"Customer Data" means data you or your users submit to the Service (e.g., invoices, debtors, contacts, PDFs). You retain ownership of Customer Data. You grant FINORYS a limited license to host, process and transmit Customer Data to provide the Service and related support, security, and legal compliance.
We implement technical and organizational measures including EU hosting, encryption, RBAC and audit logs. See our Privacy Policy for details. If a Data Processing Agreement (DPA) is required, please contact us.
6) Confidentiality
Each party may access the other’s confidential information. The receiving party will use it solely to perform obligations under these Terms and protect it with at least reasonable care. Exclusions include information that is public, already known, independently developed, or lawfully disclosed by a third party.
7) Third-Party Services
Integrations (e.g., ERP/accounting, email/SMS providers, open banking, credit insurers) are subject to their own terms. We are not responsible for third-party services and do not control their availability or performance.
8) Intellectual Property
OptiBFR, including software, UI, documentation and trademarks, is owned by FINORYS or its licensors and protected by applicable laws. Except for the limited rights expressly granted, no rights are transferred.
9) Warranties & Disclaimers
- The Service is provided on an "as is" and "as available" basis.
- We do not warrant that the Service will be uninterrupted, error-free, or meet all requirements.
- We disclaim implied warranties to the maximum extent permitted by law.
10) Limitation of Liability
To the maximum extent permitted by law, (a) neither party is liable for any indirect, incidental, special, consequential, or punitive damages; and (b) each party’s aggregate liability arising out of or related to the Service is limited to the amounts paid by you to FINORYS in the 12 months preceding the event giving rise to the claim.
11) Indemnity
You will defend and indemnify FINORYS against third-party claims arising from your unlawful use of the Service, your Customer Data, or your breach of these Terms.
12) Suspension & Termination
We may suspend the Service for security risks, legal requests, or non-payment after notice. Either party may terminate for material breach if not cured within 30 days’ written notice. Upon termination, your access ends and we will delete or return Customer Data per our retention policy and applicable law.
13) Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of England and Wales. Consumers’ mandatory rights (if applicable) remain unaffected.
14) Changes to Terms
We may update these Terms from time to time. Material changes will be notified in-app or by email. Continued use after the effective date constitutes acceptance.
